SEC Grants Exemptive Relief on Treasury Repo Clearing

3h ago

The Securities and Exchange Commission has issued exemptive relief tied to inter-affiliate repo transactions and certain non-U.S. repo activity, extending a series of accommodations meant to smooth the industry's transition to central clearing of U.S. Treasury securities.

The relief is aimed at broker-dealers and other market participants working to adjust their operations ahead of clearing mandates for Treasury repo. Regulators have been phasing in the requirement that cash and repurchase agreements in Treasuries be processed through a central counterparty, a shift that touches funding markets broadly and forces firms to rethink how they finance positions and post margin.

Inter-affiliate trades, meaning transactions between related entities inside the same corporate group, and cross-border repo bookings present structural complications, since both involve parties or legal arrangements that do not fit neatly into standard clearing models. The relief gives firms more room to manage those arrangements while their compliance frameworks are built out.

The agency framed the action as part of its ongoing effort to help market participants move toward clearing. Firms are likely to keep refining documentation, collateral arrangements and operational links with clearinghouses as the transition proceeds, and the industry has been watching each accommodation for clues about how the mandate will work in practice.
