SEC Charges 38 Firms Over False Advisory Filings
The U.S. Securities and Exchange Commission announced charges on August 27 against 38 entities accused of fabricating registration documents to falsely present themselves as bona fide investment advisers. The enforcement action targets an alleged scheme designed to deceive retail investors seeking professional money management.
According to the SEC, the entities made material misrepresentations on Forms ADV submitted between 2025 and 2026. Form ADV is a mandatory disclosure document that details an adviser's business practices, fees, and disciplinary history. By filing false information, the accused allegedly misrepresented their legitimacy and compliance status.
The regulator said the deceptive filings were intended to lure retail investors, who often rely on public registration records to gauge the credibility of financial advisers. Presenting themselves as properly registered allowed the entities to appear trustworthy and attract clients that they might otherwise have failed to secure.
The SEC's action highlights its ongoing focus on fraud in the investment advisory space, particularly where retail investors are at risk.
