tZERO to Go Public via Merger With Blank-Check Firm FG Imperii
tZERO intends to become a publicly listed company by combining with FG Imperii Acquisition Corp., a blank-check vehicle. The move places the blockchain infrastructure provider among financial technology firms choosing a merger with a listed shell company rather than a conventional initial public offering to reach public markets.
Based on blockchain technology, tZERO builds infrastructure aimed at financial markets, an area where distributed-ledger systems are being tested for trading, settlement and the issuance of tokenized instruments such as digital representations of securities. Proponents argue such systems can shorten settlement cycles and reduce reconciliation work across intermediaries.
Blank-check companies raise money through a listing and then hunt for a private business to merge with, usually within a fixed window. The structure became popular during a period of abundant liquidity, before tougher regulatory attention and higher redemption levels made such transactions harder to complete.
For tZERO, a listing would bring broader visibility and access to public capital as it competes in a crowded field of market-technology vendors. Deals of this kind generally require approval from shareholders of the acquisition company along with regulatory clearance before they can close, and the path from announcement to completion is often lengthy.
